Terms and conditions
Scope
These terms apply to all offers, quotes and contracts between PeakSpare (“we”) and our customers. We supply only to businesses within the meaning of Section 14 of the German Civil Code (entrepreneurs). Sales to consumers are excluded.
Quote and contract
The catalog and website are not binding offers. A contract is formed when you accept our written quote, or when we confirm your order. The quote states the condition of the part, the warranty and the delivery time for each position.
Prices and payment
All prices are net in euros, excluding statutory VAT and shipping costs, unless the quote says otherwise. Payment is made in advance by bank transfer against our invoice. We ship after receipt of payment.
Delivery
Delivery is made directly by one of our supply partners to the delivery address you give. Delivery times in the quote are estimates unless expressly agreed as binding. We provide a tracking number where the carrier offers one.
Condition and warranty
Parts are offered as refurbished, used or new surplus. Refurbished parts are reconditioned and tested by the supplier. Used parts are pre-owned, and their condition is described in the quote. New surplus parts are unused. Warranty terms are stated in the quote. Without a stated warranty, the statutory rights apply, with the limits permitted for business customers.
Compatibility with your instrument is your responsibility. We help you check it on request but do not guarantee it unless confirmed in the quote.
Use and installation
We supply businesses only. The parts may only be installed by qualified personnel. After installation the instrument must be checked for correct function. The manufacturer’s instructions and the applicable safety regulations must be observed, in particular for pumps, high voltage parts, lamps and parts under pressure or vacuum. Before ordering, check the fit by instrument model and serial number.
Liability
We are fully liable for intent, gross negligence, injury to life, body or health, and under the Product Liability Act. For slightly negligent breach of an essential contractual obligation, our liability is limited to the foreseeable damage typical for this type of contract. Otherwise liability is excluded as far as legally permitted. This includes liability for production downtime and loss of profit.
Retention of title
Delivered goods remain our property until full payment of the invoice.
Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods, as far as legally permitted. Place of jurisdiction is Hanover, as far as legally permitted.
